These Terms govern your use of our SaaS software and payment services provided via Razorpay’s payment platform ("Services"). By accessing or using our Services, you agree to be bound by these Terms, along with our Privacy Policy and other applicable policies referenced herein.

1. Definitions

"User", "You", "Your" means the customer or authorized representative accessing the Services.

"Razorpay" refers to the payment processing services provided by Razorpay.

"eMandate/NACH" means recurring payment authorizations processed through Razorpay and applicable banking networks such as NPCI systems.

2. Acceptance & Use

By subscribing to our SaaS product, you agree to:

• Comply with these Terms and all applicable laws
• Provide accurate and complete information
• Maintain secure access credentials

Your continued use of the Services indicates acceptance of updates to these Terms.

3. Subscription & Billing

Your subscription is billed on a recurring basis (e.g., monthly or annually) using Razorpay’s eMandate or similar payment mechanisms selected during checkout.

By subscribing:

• You authorize Razorpay to debit your selected payment instrument as per the chosen plan.
• You agree that scheduled payments may occur automatically.
• You are responsible for maintaining sufficient funds and valid payment details.

4. Razorpay & eMandate Authorization

You expressly authorize us and Razorpay to collect subscription fees via eMandate/NACH. This authorization enables recurring debits without additional consent for each billing cycle, subject to applicable NPCI and RBI guidelines.

Razorpay may send pre-debit notifications if required by regulations or its internal policies. Failed or returned debits may result in service suspension or additional charges.

5. Service Access

Access to the SaaS Services is contingent upon successful payment. We may suspend or terminate accounts for:

• Billing failures
• Policy violations
• Fraudulent or unlawful activity

6. Intellectual Property

All content, trademarks, software, and documentation remain the property of SmartLith Energy or its licensors.

7. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, or consequential damages.
• Our total liability shall not exceed the fees paid by you in the six (6) months preceding the claim.

8. Governing Law

These Terms are governed by the laws of India. All disputes are subject to the exclusive jurisdiction of the courts of New Delhi, India.
